1. THE OPPORTUNITY
We are not a typical firm, and this is not your typical paralegal or analyst role.
We're looking for a rare hybrid professional — someone with deep commercial real estate paralegal expertise who also understands finance and is ready to grow into a high-stakes workout and acquisitions position. You'll bridge the gap between legal analysis and investment strategy, working directly with senior leadership on some of the most complex deals in distressed CRE.
You'll start by doing what you do best, analyzing loan documents, abstracting critical clauses, reviewing leases, and supporting our strategy. You will also be supporting those who are building and maintaining our financial models, as well as those on the front lines negotiating — all skills that you can expect to learn in real-time on live workouts.
This isn't a back-office legal support role and there will be lots of interaction. You'll be in the room with principals, lenders, and institutional partners, helping structure and restructure transactions that matter.

2. WHAT YOU’LL DO
Legal Analysis & Document Review (Core Responsibility)
Analyze and abstract loan documents and other agreements.
Identify key clauses related to defaults, guarantees, cross-collateralization, springing recourse, and distressed asset provisions
Review and summarize leases, rent rolls, estoppels, and SNDAs
Support internal legal operations: NDAs, engagement letters, and internal compliance documentation
Compile detailed legal memos summarizing document structures, risks, and strategic considerations
Coordinate with external counsel and track legal milestones across active transactions
Financial Analysis & Underwriting (Growth Component)
Review and edit Excel models for acquisitions, restructurings, and distressed debt workouts (training and mentorship provided)
Analyze operating statements, capital stack structures, and debt waterfalls to align with what you’ve discovered or interpreted in the legal review
Review third-party reports: appraisals, environmental reports, property condition assessments, and engineering studies to identify risk factors.
Investment & Asset Management Support
Support capital structuring analysis and recapitalization strategies
Track asset performance and covenant compliance across active investments
Coordinate with brokers, lenders, attorneys, and institutional partners
Assist with site visits, investment committee memos, and transaction summaries
3. WHAT YOU’LL MASTER ON THE JOB
✓ Advanced financial modeling and underwriting across all CRE asset classes
✓ Real-time exposure to distressed assets, workouts, and complex capital stacks
✓ High-level investment structuring and decision-making
✓ Mastery of tools like Argus, CoStar, and advanced Excel functions
✓ Institutional-grade communication and presentation skills
✓ Strategic legal analysis applied directly to investment decisions
4. BASELINE REQUIREMENTS (WHO YOU ARE)
Legal Experience (Required)
7+ years of experience as a paralegal in commercial real estate, real estate finance, or structured finance
Paralegal certificate or formal paralegal training required
Deep familiarity with sophisticated mortgage loan documents: PSAs, intercreditor agreements, and optionally: workout documentation, and distressed debt structures
Strong lease review and abstraction skills across all major CRE asset classes
Ability to identify and flag critical legal and business issues in complex transaction documents
Experience supporting internal legal operations: NDAs, corporate documentation, compliance tracking
Baseline Financial & Analytical Skills (Required)
Baseline understanding of commercial real estate finance: cap rates, NOI, debt service coverage, loan-to-value, capital stack structures
Basic Excel: comfortable with formulas and financial calculations (advanced modeling skills will be developed on the job)
Ability to read and interpret financial statements, rent rolls, and operating budgets
Exposure to CMBS, distressed assets, or structured finance strongly preferred
Core Competencies
Strong written and verbal communication skills
Extreme attention to detail and organizational excellence

Intellectual curiosity and hunger to learn finance and deal structuring
Bachelor’s degree preferred (may be waived for exceptional candidates with strong paralegal credentials)

6. COMPENSATION & BENEFITS
💰 Base Salary: $100,000 – $130,000 (based on experience and skill level)
